Cost of tender document is Rs.200.00 payable by Cash/DD drawn in favour of OPGC Ltd. at SBI, Banharpali to be sold up to 08/01/2007.

TERMS AND CONDITIONS.
01) Owner/Seller: ODISHA Power Generation Corporation, IB Thermal Power Station, Banharpalli, Jharsuguda is the Owner/Seller.
02) CONTACT PERSON/DEPARTMENT: Sri Pradeep Kumar Mahapatra, Sr. Manager (EL), Head of Warehouse. Ph:06645-222210, FAX: 06645-222209.
03) INSPECTION OF MATERIAL: Interested parties, who have purchased the tender document, may inspect the material at IB Thermal Power Station (ODISHA Power Generation Corporation LTD.) Banharpalli, Jharsuguda during office hours up to last date of submission of tender after fulfilling the usual security & safety conditions of Owner/Seller.
04) The Offers are to be quoted exclusive of Taxes/Duties as per the prescribed format. The Material projected for sale is strictly on As Is Where Is and No Complaint Basis. The bidder should submit the NIT, Terms & Conditions & Price Bid signing on each page.
05) EMD: 10 % of the offer price are to be deposited as EMD along with the Quotation in shape of DEMAND DRAFT drawn in favour of ODISHA POWER GENERATION CORPORATION LIMITED payable at SBI (BANHARPALLI) (Code No. 9510)/Andhra Bank, Adapada Branch (Code No. 0662)/Central Bank of India, BANHARPALLI, Extn. Branch (Code No. 10), failing which the Quotation submitted by the bidder will not be entertained. EMD of successful bidders will be converted to Security Deposit, which will be returned after successful completion of the contract. EMD of unsuccessful bidders will be returned after finalization of contract. No interest will be paid on any deposit.
06) VALIDITY OF OFFERS: Minimum 90 days from the date of the Opening of the Tender.
07) PAYMENT: The successful bidder will have to deposit 100% of the Quoted/ accepted Basic value of the Item ALONG WITH APPLICABLE Sales Tax, Excise Duty and other taxes, within 22 (Twenty Two) days from the date of issue of the acceptance letter by owner/seller, in the form of DEMAND DRAFT drawn in favour of ODISHA POWER GENERATION CORPORATION LIMITED payable at SBI (BANHARPALLI) (Code No. 9510)/Andhra Bank, Adapada Branch (Code No. 0662)/Central Bank of India, BANHARPALLI, Extn. Branch (Code No. 10) failing which the EMD shall be forfeited.
08) TAXES & DUTIES: Excise duty, Education Cess, VAT/Sales Tax; and Entry Tax and any other taxes and duties or levies as applicable on the date of delivery will be charged extra. Concessional Sales Tax will be charged to eligible parties against relevant declaration forms and registration certificate. Entry Tax as applicable will be charged for materials going to any places inside the State of ODISHA.
09) STATUTORY PAYMENTS: The rate of ST & Duties etc will be applicable as on the date of delivery of Item. Present rate of VAT is 12.5% for all the items will be applicable. However concessional taxes shall be levied against 'C' Form after verification of registration certificate of the bidder for their entitlement. Entry Tax as applicable extra
10) INCOME TAX (TCS): As per actual (Currently @1.122%) on the total sale value will be collected i.e. on Material Value+Taxes & Duties.
11) DEFAULT IN PAYMENT: If the successful bidder fails to make the payment within the stipulated period, the EMD will be forfeited.
12) ISSUANCE OF DELIVERY ORDER: On receipt of full payment along with applicable Taxes & Duties the owner/Seller will issue a Release/Delivery Order for lifting up of the materials.
13) DELIVERY PERIOD: 30 Calendar days from the date of issuance of Release/ Delivery Order failing which, contract shall be liable for cancellation. In case of cancellation of contract, the EMD & material value shall be forfeited and successful bidder will not have any right or claim over that item.
14) QUALITY AND QUANTITY: The successful bidder shall be deemed to have satisfied themselves about the nature, physical conditions, dimension, size, weight, specification before quoting the rates. The seller shall furnish no guarantee or warranty as to the conditions of the item or its quality or its fitness for any specific purpose or use. It should be clearly understood that all the bidders are deemed to have inspect the items and no claim, complaint about the quality/quantity/conditions/fitness shall be entertained by the owner / seller after submission of bid irrespective of whether bidder has actually inspected the material or not.
15) LIFTING: The successful bidder shall be required to lift the material at his/her/their own risk and own transportation. Mechanical device/equipment for loading inside the seller's premises will be arranged by the successful bidder. No measurement shall be made by OPGC. Buyer shall measure the quantity at his/her/their own cost. The buyer shall arrange his/her/their own means for lifting and transportation.
16) REMOVAL OF MATERIALS: For lifting/removal of the materials, purchaser has to make his/her/their own arrangement for loading and transportation and the seller will not take any responsibility for providing any assistance to the purchaser in this regard. Lifting/Removal will be allowed only on working days and during normal working hours.
17) FORCE MAJEURE: The contract is subject to force majeure conditions, i.e., if any event happens which is beyond human control like strike, lock out, Civil Disobedience, Cyclone, Flood and other similar events, which makes the performance of the contract impossible then the Seller will not be held responsible for non-execution of the contract and the Purchaser cannot claim any compensation or damages whatsoever on this account. For such force majeure conditions, the seller will extend the validity of the contract.
18) FACTORY RULES AND PROCEDURE: The purchaser shall abide by all the rules and procedure of safety and security of Seller's factory and comply with relevant provisions of workmen compensation act and any other statue in respect of persons engaged by him for handling of materials inside the factory premises and indemnify the seller against any claim from any one in execution of the order.
19) REJECTION OF BIDS: The Owner/Seller reserves the right to reject/withdraw any or all the items/ offer of any successful bidders at any stage even after issuance of Release/Delivery Order without assigning any reasons thereof.
20) CANCELLATION OF ORDER: Owner/Seller reserves the right to cancel the release/delivery order or withdraw from sale of any item any time and refund EMD/Security Deposit and advance without assigning any reasons thereof. Sellers also reserve the right to withdraw sale of any item for own use even after the issuance of Delivery Order at any point of time.
21) LOSS OF DAMAGE OF SELLER'S PROPERTY: The Purchaser shall be responsible for making good any loss or damage caused to the property of seller due to negligence of persons engaged by him/her/them.

23) JURISDICTION: Any dispute arising out of this contract will be subject to the jurisdiction of Court of Jharsuguda.
